SERVICES AGREEMENT No. 2026-0412

CLIENT: Andina Distribution LLC, Tax ID 900-412-775
CONTRACTOR: Valley Integrated Services Ltd., Tax ID 830-221-904

1. SCOPE. The contractor shall provide preventive and corrective
maintenance services for the client's processing plant.

2. VALUE. The total value of this agreement is EIGHTY-FIVE THOUSAND
DOLLARS ($85,000) plus VAT.

3. TERM. Six (6) months counted from the kick-off certificate.

4. PAYMENT. A thirty percent (30%) advance upon signature and the
balance upon final delivery.

5. PENALTY. Failure to meet the deadlines shall trigger a penalty of
thirty percent (30%) of the total value of the agreement.

6. CONFIDENTIALITY. The parties shall keep confidential all
information accessed under this agreement.

7. INTELLECTUAL PROPERTY. All deliverables shall become property
of the client.

8. JURISDICTION. Disputes shall be submitted to the commercial
courts of the city of Cali.
